Welcome! This is a guided workflow tool for drafting, negotiating, and executing a Deposit Account Control Agreement (a "DACA") using the American Bar Association's standard form, which was published in 2006. This tool contemplates that three parties will be involved: a depositary bank (the "Bank"), a secured party (the "Secured Party") making a loan, and the borrower receiving the proceeds of the loan (the "Borrower"). Representatives of each party and each party's respective legal counsel will be called upon to engage with this tool. The process is divided into a seven-phase workflow as follows:

Initiation

Bank Deposit Operations creates the transaction and designates counsel for all three parties.

Information Upload

Borrower and Lender upload party information. Counsel are automatically invited.

Draft Generation

The tool generates a completed ABA form DACA using the information provided.

Review & Revision

All three counsel review and negotiate the draft using a tracked-changes redline editor.

Final Approval

Bank Counsel generates a clean version. All three counsel approve before execution.

Execution

The agreement is executed sequentially: Borrower, then Lender, then Bank.

Closing & Onboarding

Completeness check, account onboarding, and distribution of the executed DACA to all parties.

Scope & Important Limitations

Please read before use

  • Source form. This tool implements the ABA Model Deposit Account Control Agreement. The General Terms are reproduced verbatim and unmodified to ensure legal accuracy.
  • Disposition of funds. This tool fixes the Disposition Instruction rule to require that any instruction originated by the Secured Party must direct all funds in the Deposit Account to a single recipient. Partial sweeps or multi-recipient instructions are not supported. If your transaction requires partial or multi-recipient disposition flexibility, use a separately negotiated form of DACA rather than this tool.
  • Electronic records. This tool fixes the Electronic Records election to permit a writing to include an electronic record and to permit communications by e-mail.
  • Delivery of executed copies. This tool fixes the Delivery election to permit delivery of an executed copy by electronic transmission in addition to facsimile.
  • Wire transfer instructions. Wire instructions for the Initial Instruction exhibit are intentionally left blank. Per the ABA form, the Secured Party provides wire instructions separately at the time it sends the Initial Instruction.

This tool was conceived and developed by a practicing lawyer to streamline the process of preparing, negotiating, and executing deposit account control agreements in commercial lending transactions.

The tool is built on the ABA Model Form, which is widely used in commercial secured lending transactions involving deposit accounts as collateral.
